Red Ideas Holdings Berhad and its subsidiaries are committed to conduct its affairs in an ethical, moral and legal manner; and expects the highest standards of integrity from all employees and business associates/partners. We take serious view of any wrongdoing by any of the employees, management, and business associates/partners, in particular with respect to their obligations to the organisation’s interest. Cognisant of this commitment, the Whistleblowing channels are established to provide avenue for all employees and business associates/partners to report any improper conduct within the organisation that they may observe and experience.
The primary purpose of this Whistleblowing Policy is to govern the reporting and handling of wrongdoing in the organisation. This Whistleblowing Policy does not replace the organisation’s existing policy for handling employee grievance or similar complaints but to facilitate employees and business associates/partners to report suspected and/or known misconducts, corruption and instances of fraud and of the organisation’s resources.
Any party can report a Whistleblowing complaint if they are of any wrongdoings, including, but NOT limited to the following:
1. fraud or dishonesty;
2. bribery or corruption;
3. misappropriation of assets;
4. sexual harassment;
5. criminal breach of trust;
6. questionable or improper accounting;
7. misuse of confidential information;
8. acts or omissions which are deemed to be against the interest of the organisation, laws, regulations, policies or procedures;
9. giving false or misleading information (including suppression of any material facts or information);
10. breaches of the Group Policies and Code of Business Conduct; or
11. the deliberate concealment of any of the above matter or other acts of wrongdoings
4.0 REPORTING IN GOOD FAITH
We expect all parties to act in good faith and have reasonable grounds when reporting a Whistleblowing complaint. If allegations are made with malicious intent, we will take appropriate action against the parties concerned, including legal action, where applicable.
5.0 PROTECTION TO WHISTLEBLOWER
We will accord protection of confidentiality to the whistleblower to the extent reasonably consistent with the need to conduct an adequate investigation. We take all reasonable steps to protect the whistleblower against any discrimination, retaliation or harassment, corresponding to its internal policies and scope under its purview and jurisdiction. The protection may be revoked under the following circumstances, amongst others and not limited to, where:
1. the whistleblower participated in improper conduct;
2. the whistleblower wilfully discloses a false statement; and/or
3. the disclosure is made with malicious intent.

The report should be in writing, to ensure that there is a clear understanding about the issues raised. All disclosures made herein should contain the following information:
1. details of the person involved;
2. nature of the allegation, where and when the alleged misconduct/wrongdoing took place;
3. other relevant information; and
4. supporting evidence, if available.
The whistleblower may seek follow up information about the outcome of the investigation, subject to legal limitations. All investigators are independent and they are required to conduct their investigations and analysis in a fair and objective manner whilst upholding utmost legal and professional standards.
All investigation reports shall be tabled to the Board, which has the authority to ensure effective implementation of the Whistleblower Policy. The Integrity & Compliance Unit shall update the Board on reports that require the Board’s attention and approval.
7.0 REVIEW OF WHISTLEBLOWING POLICY
This Whistleblowing Policy is approved and adopted by the Board. The Board shall periodically review this Whistleblowing Policy to ensure its effectiveness and appropriateness.
